Terms of service
Version 2026-11-02.2 · Last updated 2 November 2026 (section 4: added the founding price hold for trials started by 31 January 2027)
These terms apply when your business uses TenderFlag: the website, the sample digest, the tender digest, the customer dashboard and any paid plan. By starting a plan (or a free trial, where one is offered) you agree to them on behalf of your business. We've kept them short. If anything is unclear, email us.
1. Who we are
TenderFlag is operated by AIventure Pty Ltd, Sydney, Australia. Company number (ACN/ABN) and registered address: to be added. Contact: aiventure@mail.grokbot.com. In these terms, "we" and "us" mean AIventure Pty Ltd, and "you" means the business that signs up.
2. Business customers in the EU and EEA only
TenderFlag is for businesses based in the EU or EEA. It isn't offered to consumers. By signing up you confirm that:
- you're acting for a business based in the EU or EEA, and the person signing up may accept these terms for it; and
- the company details you give us are correct, including your VAT ID where we ask for it.
3. What TenderFlag does
- We read public tender notices published on TED (Tenders Electronic Daily) and use rules-based matching to pick the ones that fit the categories, CPV divisions (types of work), countries and keywords you choose. We send them to you as an email digest and show them on your dashboard, with an English summary, the deadline, the bid language and a link to the original notice.
- Some plans include the AI Bid Assistant (see section 7).
- What each plan includes is shown on the pricing page when you subscribe. Features shown as not yet available (for example "Coming soon") aren't part of your plan until we switch them on.
- Tender data comes from TED, © European Union, reused under Commission Decision 2011/833/EU. We aren't affiliated with the European Union or the Publications Office. Summaries and translations are made by TenderFlag and aren't official.
4. Plans and prices
- Starter €39 a month, Cross-border €79 a month, Pro €149 a month. Enterprise is priced on quote; if an Enterprise order form we both sign says something different, the order form wins.
- Free trial. Where a free trial is offered, it lasts 14 days and you give a payment card when you start it. Unless you cancel before the trial ends, your plan becomes a paid subscription and the first monthly fee is charged automatically on day 15. One free trial per business.
- Renewal. Plans renew automatically each month until you cancel.
- Price changes. We'll tell you by email at least 30 days before a price rise applies to your plan. If you don't want the new price, you can cancel before it applies.
- Founding price hold. If you start a 14-day trial of the Starter, Cross-border or Pro plan on or before 31 January 2027 (23:59 CET) and your paid subscription continues without a break, the monthly plan price (excluding VAT) charged at your first payment will not increase for 12 months from that first payment. If you switch between Starter, Cross-border and Pro during that period, the new plan is charged at its price on 31 January 2027 for the rest of the 12 months. The hold ends if you cancel, if your subscription lapses for non-payment, or if you move to Enterprise. The hold applies to monthly billing only. It does not apply to annual billing: if you choose or switch to annual billing, the hold ends and each annual renewal is charged at the price in force at that time. VAT and other taxes follow the law in force. After the 12 months, the standard price applies, and we will email you at least 30 days before any price change.
- Amounts shown in other currencies on the site are for reference only. You're billed in euros.
5. Payment, VAT and late payment
- We bill monthly in advance, by card through our payment provider Stripe or by invoice. When you pay by card, Stripe handles your payment: we never see or store your full card number, and Stripe's own terms apply to how it processes it.
- VAT. No VAT is added to our prices. As a business customer in the EU or EEA, you account for any VAT due under the reverse charge, and our invoices say so. You're responsible for any other taxes, duties or bank charges that apply to you.
- Failed or late payments. If a card payment fails or an invoice isn't paid on time, we'll let you know and, for cards, Stripe retries the payment over the following days. You keep access while we retry or wait for payment. If the payment still hasn't been made about 3 weeks later, your plan ends (see section 6), and we may ask you to pay for the period you used.
6. Cancelling and ending your plan
- You can cancel at any time by emailing us or, if you pay by card, in Manage billing on your dashboard.
- If you cancel during a free trial, you pay nothing and your plan ends when the trial ends.
- Otherwise your plan stays active until the end of the month you've already paid for, and isn't renewed.
- No refunds for part-months. We don't refund unused parts of a month, except where the law requires it, or if we stop offering TenderFlag (below).
- We may suspend or end your plan if you seriously or repeatedly break these terms, if you don't pay, or if the law requires it. Where reasonable, we'll warn you first and give you a chance to fix the problem.
- If we stop offering TenderFlag, we'll give you at least 30 days' notice and refund any prepaid fees for the time after the service ends.
- When your plan ends, your dashboard access ends, and your dashboard data, company facts and library content are deleted as described in our privacy notice. We keep invoices and payment records for as long as tax law requires.
7. The information we give you, and the AI Bid Assistant
- Matches, summaries, translations, qualification cards and checklists are made automatically from the published notice. They are a guide, not an official text, and not legal or bidding advice. They can be incomplete or wrong, and many requirements appear only in the tender documents.
- We don't guarantee that every relevant tender reaches you, that dates, values or other details are correct, or that you'll win any tender. Tenders that aren't published on TED aren't covered.
- AI Bid Assistant helps you assess and prepare bids. It doesn't replace reading the tender documents or legal advice. Always check against the official notice. Its outlines and drafts are a starting point only: you must review, check and edit all of its output before you use it, and you remain responsible for everything you submit to a buyer.
- You are responsible for your decisions to bid, for your bids, and for meeting each buyer's requirements and deadlines.
8. Your content (company facts and library)
- On your dashboard you can add company facts (for example a turnover band, certificates or the languages you bid in) and, on Pro, upload documents to your content library ("your content").
- You keep all rights to your content. You give us permission to store and process it only to provide TenderFlag to you, for example to check tenders against your company and to outline answers for your bids. We don't use it for anything else or share it with other customers.
- You promise that you have the right to upload your content and that it doesn't contain personal data about private individuals, such as CVs, or names or contact details of staff. We may refuse or remove files that seem to contain such data, macros or scripts.
- You can change or delete your content at any time on your dashboard. It's deleted when you delete it, or within 30 days after your plan ends.
9. Your account and dashboard
- Each subscription has one sign-in, linked to the email address you signed up with.
- Sign-in links work once, for 15 minutes: keep them private and don't forward them. Tell us straight away if you think someone else has used your sign-in.
- The dashboard is read-only and refreshed regularly, normally every day.
10. Acceptable use
Use TenderFlag for your own business. Please don't:
- resell, republish or redistribute the digest, the dashboard or its data as a feed or a competing service;
- share paid access outside your business;
- scrape the site or dashboard, or use automated tools to collect data from it;
- try to break, overload or get around the security or limits of the service; or
- upload anything unlawful, harmful, or that you don't have the right to share.
11. Availability and changes to the service
We aim to send the digest at 07:00 your time and keep the dashboard available, but we don't offer a service-level guarantee. The service can be late or unavailable, for example when TED is down or during maintenance. We may change and improve features. If a change materially reduces what your paid plan includes, we'll tell you at least 30 days in advance and you can cancel.
12. Liability
- We provide TenderFlag "as is". We aren't liable for lost bids, lost contracts, lost profit or revenue, missed deadlines, or any indirect or consequential loss, or for decisions you make based on the information we give you.
- Our total liability to you for all claims in connection with TenderFlag is limited to the fees you paid us in the 12 months before the claim arose, or €100, whichever is higher.
- Nothing in these terms excludes or limits any liability, guarantee or right that can't be excluded or limited by law. Where a law implies a guarantee that can't be excluded but can be limited, our liability is limited, as far as the law allows, to supplying the service again or paying for it to be supplied again.
13. Your data and privacy
We handle personal data as described in our privacy notice, which forms part of these terms.
14. Changes to these terms
We may update these terms. We'll change the version and date above and, for changes that matter to you, tell you by email at least 30 days before they apply. If you don't agree, you can cancel before the change applies. If you keep using TenderFlag after that, the new terms apply.
15. General
- These terms, the pricing page at the time you subscribe, and any Enterprise order form are the whole agreement between us about TenderFlag.
- If part of these terms can't be enforced, the rest still applies.
- You may not transfer your plan to another business without our agreement. We may transfer these terms to a business that takes over TenderFlag, and we'll tell you if we do.
- We're not responsible for delays or failures caused by events outside our reasonable control.
16. Governing law and disputes
These terms are governed by the law of New South Wales, Australia, and disputes go to the courts of New South Wales. Before going to court, we'll both try to settle any dispute by talking to each other in good faith.
